1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you") and InfoServe IT Limited ("Agency," "we," "us," or "our"), concerning your access to and use of our website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site") and our services.
By accessing our services, you confirm that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these terms, then you are expressly prohibited from using the Site and our services and must discontinue use immediately.
2. Services Provided
InfoServe IT Limited provides custom digital services including but not limited to:
- Web Design & Development: Custom websites, landing pages, and web applications.
- Software Development: Custom software, SaaS platforms, ERPs, and internal tools.
- Mobile Application Development: iOS, Android, and Cross-platform apps.
- Digital Marketing & SEO: Search engine optimization, content strategy, and paid advertising.
- Maintenance & Support: Ongoing server management, security updates, and bug fixes.
Specific deliverables, timelines, and costs will be outlined in a separate Project Proposal or Statement of Work (SOW) provided to the Client.
3. Payments, Fees, and Refund Policy
3.1 Payment Structure: Unless otherwise agreed in writing, standard projects require a 50% non-refundable deposit before work begins. The remaining 50% is due upon project completion and before final file transfer or server deployment.
3.2 Late Payments: Invoices are due upon receipt. Accounts unpaid thirty (30) days after the date of invoice will be considered in default. We reserve the right to suspend services and/or remove web content until full payment is received.
3.3 Refunds: Due to the nature of custom digital work, refunds are generally not provided once work has commenced. If the Client cancels the project, the initial deposit remains non-refundable to cover the Agency’s time and resources.
4. Client Obligations
To ensure the success of the project, the Client agrees to:
- Provide all necessary content (text, images, credentials) in a timely manner.
- Review work and provide feedback within 3 business days of submission.
- Designate a single point of contact to avoid conflicting instructions.
Delays in Client feedback or content delivery will result in a corresponding delay in the project timeline.
5. Intellectual Property Rights
5.1 Ownership: Upon full payment of all fees, the Agency grants the Client full ownership of the final designs, code, and content created specifically for the project.
5.2 Agency Rights: The Agency retains the right to:
- Use the completed functionality or design as part of its portfolio and marketing materials.
- Reuse underlying code libraries, frameworks, or developer tools that are not unique to the Client’s business logic.
6. Warranties and Liability
6.1 Warranty Period: We provide a 30-day warranty period after launch to fix any bugs or errors related to our code at no additional cost. This warranty does not cover issues caused by third-party plugins, hosting changes, or Client modifications.
6.2 Limitation of Liability: InfoServe IT Limited shall not be liable for any indirect, special, or consequential damages, including lost profits, loss of data, or business interruption, arising out of the use or inability to use the deliverables. Our total liability is limited to the amount paid by the Client for the specific project.
7. Confidentiality
Both parties agree to keep all proprietary information, trade secrets, and sensitive business data confidential. We will not disclose Client data to third parties without express permission, except as necessary to perform the services (e.g., hosting providers).
8. Termination
Either party may terminate the agreement with written notice if the other party breaches material terms. In the event of termination by the Client without cause, the Client is responsible for payment for all work completed up to the date of cancellation.
